Practice Description

Mr. Braithwaite practises primarily in securities law with an emphasis on corporate finance and mergers and acquisitions. Corporate finance work has included investment fund offerings, privatizations involving both Canadian and non-Canadian issuers and offerings under the MJDS system. Clients include fund managers and institutional shareholders as well as issuers and underwriters. Mergers and acquisitions work has included designing shareholder rights plans in addition to representing offerors, targets and special committees of the boards of directors in takeovers, including contested bids. Mr. Braithwaite has also acted for the Ontario Securities Commission, the Federal Government and the Ontario Government on specific projects and policy initiatives.
